Create a Confirmation Statement

The Confirmation Statement (CS01) serves to verify and update the company information on record with Companies House. Using GEMS, companies can review their current information and submit any changes electronically through the Confirmation Statement.

Any company incorporated in England, Scotland, Wales, or Northern Ireland with one of the following entity types is required to file a Confirmation Statement annually:

  • Private Limited Company (LTD)

  • Public Limited Company (PLC)

  • Limited Liability Partnership (LLP)

  • Limited Partnership (LP)

  • Societas Europaea (SE)

  • Investment Company with Variable Capital (ICVC)

  • Investment Company with Variable Capital (Securities) (ICVC(SEC))

  • Investment Company with Variable Capital (Warrants) (ICVC(WAR))

  • Investment Company with Variable Capital (Umbrella) (ICVC(UMB))

  • Protected Cell Company (PCC)

  • Scottish Partnership (SP)

  • Charitable Incorporated Organization (CIO)

  • Scottish Charitable Incorporated Organisation (SCIO)

The Confirmation Statement must be filed once per year, no later than the anniversary of incorporation. Using GEMS to file electronically meets this legal requirement and keeps company information up to date.

Create a Confirmation Statement via the Company Snapshot

Confirmation Statements in GEMS are generated, tracked, and managed via their associated Confirmation Statement Activity. These activities once created can be found in the Activities Hub.

1. Click Find a Company.

2. Enter the name of the company into the Search bar and click Search. Your search results will appear.

3. Click the Name of the company you want to file for. This will open the company Snapshot. In this example, we will file a Confirmation Statement for the company Millennium Stadium PLC.

4. From the Snapshot, click the MENU button and select Confirmation Statement.

5. The Create Confirmation Statement window will appear. These dates will auto-populate if Confirmation Statement Activities already exist in GEMS. If no previous Confirmation Statement Activities exist in GEMS, enter the date your Confirmation Statement is due (within 1 year of your previous statement) in the Confirmation Statement Date field. In this example, we will enter 01/08/2025.

6. The Due By date will automatically populate and will display as two weeks after the Confirmation Statement Date. If you have one, enter the Last Confirmation Statement Date field. In this example, we will enter 31/07/2024.

7. Click the GENERATE button.

8. The Filing Module window will appear and will include the Company Details as per information held at Companies House. In the navigation panel on the left you will find all the sections that need reviewing. Some will be read only, and others will show you a comparison of data held by Companies House vs GEMS data.

Find a Confirmation Statement that has already been created

If the Filing Module is closed before completing and submitting, you can easily re-launch it at a later date.

1. Navigate to the Company Snapshot and click on the DOCUMENTS button.

2. Right click on the relevant Confirmation Statement and select Launch Filing Module.

3. The Filing Module will appear.

Note: Re-launch the Confirmation Statement after updating data in GEMS.

If you have made changes to your database and want to see a Confirmation Statement form that reflects those changes you will need to launch a new Confirmation Statement.
