Review the Types of Data Held in the Confirmation Statement Filing Module
Before you start to complete the Confirmation Statement it is important to understand the two different types of tabs you will need to review when filing the Confirmation Statement in the Filing Module.
Read-only tabs - These tabs contain data pulled from Companies House in a read-only state. You cannot use the Confirmation Statement to update this data. In the below Company Details example, you will notice the page does not have an Edit button. If there are any errors in these tabs, you will need to update the data via Companies House.
Comparison tabs - These tabs display the data pulled from Companies House and the data contained in GEMS side by side. You can view both sets of data and decide if you want to keep/confirm the Companies House data or submit the GEMS data to update your Confirmation Statement with the information in GEMS.
Review SIC Codes
Review the SIC Codes (Principal Business Activity Codes) that will be included in the Confirmation Statement.
1. Navigate to the Filing Module and select SIC Codes from the left menu. The SIC Codes pane will appear and you can compare the SIC Codes that Companies House holds for the company with the SIC Codes GEMS holds for the company.
2. Compare the SIC Codes and tick the checkbox next to the codes you want to submit. In this example, we selected Confirm Companies House Information.
Note: If the data in neither source is up to date, you must exit the Confirmation Statement Filing Module and update the data in GEMS. Once the SIC Codes have been updated, relaunch the Filing Module and tick the box for Submit GEMS Information.
Review Trading Status of Shares
The Trading Status of Shares reports whether the company’s shares fall into any of the following categories.
Trading On MarketThis applies if any company shares were admitted to trading on any UK or non-UK market during the period covered by the Confirmation Statement. In GEMS, a company is considered to be trading on the market if there is at least one record in the Securities Management> Listing screen. |
DTR 5 AppliesThis applies if the company was a traded company to which DTR5 applies during the period covered by the Confirmation Statement. DTR5 refers to the Vote Holder and Issuer Notification Rules contained in Chapter 5 of the Disclosure and Transparency Rules sourcebook issued by the Financial Services Authority. In GEMS, a company is considered to be trading on the market if there is at least one record in the Securities Management> Listing screen. |
PSC Exempt As Trading On Regulated MarketThis applies if the company is exempt from the requirement to obtain information and keep a register of its PSC because the company has voting shares admitted to trading on a regulated market in an EEA State other than the United Kingdom. |
PSC Exempt As Shares Admitted On MarketThis applies if the company is exempt from the requirement to obtain information and keep a register of its PSC because the company has voting shares admitted to trading on a regulated market in an EEA State other than the United Kingdom. |
PSC Exempt As Shares Admitted On MarketThis is selected if the company is exempt from the requirement to obtain information and keep a register of its PSC because the company has voting shares admitted to trading on a market listed in Schedule 1 of the Register of People with Significant Control Regulations 2016. In GEMS, a company is considered to be PSC Exempt As Shares Admitted On Market if the Market Type field on the GEMS Company Basics screen is set to Markets listed in Schedule 1 of the Register of People with Significant Controls Regulations 2016. |
The Trading Status of Shares applies only to Public Limited Companies (PLCs) and the values selected on the Trading Status of Shares tab in the Filing Module affect the shareholder schedule that is used to report the shareholders of the company to Companies House. If you change the Trading Status of Shares data held at Companies House for a company, the data reported on shareholders will automatically change and you will see the changed data listed on the Shareholders tab.
The following scenarios are possible:

Determine the Trading Status of the Company’s Shares
1. Navigate to the Filing Module and select Trading Status of Shares in the left menu. The comparison pane displays the trading status data held at Companies House side by side with the data held in GEMS.
2. If there are differences between the data, select the checkbox for GEMS to use the GEMS data in the Confirmation Statement.
Note: If the data in neither source is up to date, you must exit the Confirmation Statement Filing Module and update the data in GEMS. Once the data has been updated, relaunch the Filing Module.
Review Shareholders
1. Navigate to the Filing Module and select Shareholders from the left menu. This pane displays all the shareholders of the company (if any) and a summary of their shareholdings.
2. If the Differences Exist? column contains Yes for any of the Shareholders, click on the Edit button in line with the Shareholder.
3. This display shows a comparison between the data held at Companies House and the data held in GEMS. To view each Shareholder information screen use the Previous and Next buttons.
4. For each Shareholding, decide if it should be kept in the Confirmation Statement and confirm by ticking the Confirm Companies House or Submit GEMS Information checkbox. If you do not want to report the data from either source, for example, if the record is no longer valid, ensure that both boxes are unchecked.
5. Click the Return to Summary button to return to the Shareholders summary pane.
6. The Shareholders summary pane now contains the data you selected and the "Confirm/Submit?" column lists the data sources you have chosen to use in the Confirmation Statement for each Shareholder record. If the column contains the text "Information is not reported" this means that neither checkbox is selected for this record. Therefore, the record will not be reported in the Confirmation Statement.
Note: If the data in neither source is up to date, you must exit the Confirmation Statement Filing Module and update the data in GEMS. Once the Shareholder information has been updated, relaunch the Filing Module as shown in Lesson 1 and tick the Submit GEMS Information.
Review Lawful Purpose
To allow the submission of a Confirmation Statement an entity must confirm that its intended future activities are lawful, this information is provided via the Lawful Purpose section of the Confirmation Statement filing module.
Create a Confirmation Statement via the Company Snapshot
Confirmation Statements in GEMS are generated, tracked, and managed via their associated Confirmation Statement Activity. These activities once created can be found in the Activities Hub.
1. Navigate to the Filing Module and select Lawful Purpose. Click the EDIT button.
2. The Lawful Purpose pane will appear. Tick The company confirms that its intended future activities are lawful checkbox.
3. Click SAVE.
Preview and File a Confirmation Statement
Once you have selected the data sources to be used for all sections in the Confirmation Statement Filing Module, you can Preview and Validate the Confirmation Statement before filing it electronically to Companies House.
Preview the Confirmation Statement
1. Navigate to the Filing Module and click the PREVIEW button.
2. A window will appear in a new tab with a summary of all the data that will be submitted to Companies House in the Confirmation Statement. Review the summary to make sure the data is accurate.
Validate the Confirmation Statement
The Validate button will check the Confirmation Statement against a list of predefined rules. GEMS checks all the information in the Filing Module to make sure all mandatory fields and data requirements have been met.
1. Click the Validate button.
2. A new dialog box will display a list of any errors found.
3. Close the Filing Module, return to GEMS, and fix any errors identified in red.
4. Once you have done this, navigate back to the Confirmation Statement.
5. Click on the VALIDATE button to confirm all errors have been rectified.
6. Once all errors have been rectified the Status will show as Valid. Click the SUBMIT button to submit the Confirmation Statement to Companies House electronically. It will be sent immediately.
7. A new window will appear, click SUBMIT.
8. A new window will appear, click OK.
9. The Status will now show as Sent Electronically.
View the Status of the Submission
1. From the Home Hub toolbar click Documents and select Find a Document.
2. Enter Confirmation Statement into the Search bar and click the Search button. A list of results will display.
3. Under the column Status, you will see the status of the filing in real time for each document record.
4. If the status is Rejected, right-click on the document record and select Open.
5. From the left Menu, select History. The Search Results pane will appear with a list of all Comments.
Note: When Companies House confirms that the submission has been successful, GEMS automatically updates the Date Filed on the Activity record and sets the status of the Associated Activity to Completed.
