Record a Transfer of Shares on the Stockholder/ Shareholders Summary Screen

Record a transfer of shares

When a Registered Holder transfers shares in one of your Business Entities to another Registered Holder, we need to record a Transfer Transaction on the Stockholder/Shareholder Summary Screen.

We will use the following scenario to demonstrate this task: as of August 15th, 2025, Pliant Holdings has transferred 1,000,000 shares of common stock in Ironwood Equity Solutions to Pliant Finance LLC, a new spinoff of Pliant Holdings that is also going to have a stake in Ironwood Equity Solutions. We now need to record this transfer on the Stockholder/Shareholder Summary Screen.

  1. Navigate to the Stockholder/Shareholder Summary Screen of the entity who originally issued the shares. In this scenario, we’ll navigate to Stockholder/Shareholder Summary Screen for Ironwood Equity Solutions.

  2. Select the appropriate Transaction Type from the dropdown menu. In this scenario, we'll select Transfer.

  3. Click New Security Transaction.

  4. A new Transfer Transaction pane will open. In the Registered Holder field, click the Lookup List icon to search for the Entity who owns shares but is now transferring them. In this scenario, we’ll select Pliant Holdings.

  5. The Beneficial Holder is the entity who ultimately benefited from the shares prior to their transfer. GEMS will automatically copy down the Registered Holder entity into the Beneficial Holder field since they are often the same, but you may change it if needed. In this scenario, Pliant Holdings is both the Registered and Beneficial Holder, so we’ll leave Pliant Holdings in this field.

  6. GEMS will automatically complete the Security field if the selected Registered Holder held only one type of Security. In this scenario, Pliant Holdings only held Common stock Securities, so GEMS selected Common stock in this field.

  7. In the Transfer To Registered Holder field, click on the Lookup List icon to search for the new Registered Holder the shares are being transferred to. In this scenario, we’ll select Pliant Finance LLC.

  8. This Beneficial Holder is the entity who will ultimately benefit from the transferred shares. GEMS will automatically copy down the Transfer To Registered Holder entity into the Transfer To Beneficial Holder field, but you may change it if needed. In this scenario, Pliant Finance LLC will be both the Registered and Beneficial Holder of the transferred shares, so we’ll leave Pliant Finance LLC in this field.

  9. In the Transfer Number field, enter the appropriate internal reference number you use to track transfers, if there is one. In this scenario, Pliant Holdings does not use internal reference numbers to track transfers, so we’ll leave it blank.

  10. Enter the date the shares were transferred in the Date Transfer field. In this scenario, we’ll enter Aug 15 2025.

  11. The Number of Securities Available field will display how many shares can be transferred. Initially, it will show the total holdings of the selected Registered Holder and the selected Security. In this scenario, Pliant Holdings initially holds 5,000,000 Common stock Securities.

  12. Enter the number of the Securities transferred by the Registered Holder in the Number Transferred field. This value can be equal to or less than the Number of Securities Available. GEMS will calculate the number of Securities remaining and display an updated number in the Number of Securities Available field. In this scenario, we have entered 1,000,000. GEMS has updated the Number of Securities Available for Pliant Holdings to 4,000,000.

  13. GEMS automatically completes the Value Transferred field with the value of the number of shares entered in the Number Transferred field based on the par value of the Security. In this scenario, GEMS has calculated it to be 10,000.

  14. Complete the additional optional fields on the page as needed, then click SAVE.
