Introduction
As per the Companies Act (UK) in October 2009, directors must submit details of a service address for each company in which they are a director. There must also be a service address for company secretaries, and for members/designated members in LLPs. You can choose any of the Appointee’s current addresses, or the company’s registered office address in a company record as the service address for a director/secretary/member.
Please note: Service addresses apply only for people, not companies.
You can add a service address when adding or editing an appointment record in GEMS.
Add a Service Address
To add a Service Address for a UK Director while creating a new appointment, do the following:
1. On the Business Entity/Company Snapshot, click Actions> New> Appointment in the Appointments panel.
2. Alternatively, if there is no Appointments panel on the Snapshot, click View More Details,
3. click Appointments to open the Appointments Screen.
4. On the Appointments Screen, click New Appointment.
5. Select the person you are appointing by selecting them from the Lookup list next the Official field.
6. Select the Title of the Director from the Lookup list.
7. Click the Lookup list next to the field Address Type.
8. Select the Address Type you intend to use as the Service Address.
9. Click the Save button to create the appointment. If applicable, an auto-generated Activity will be created and present suggested documents for you to create based on the jurisdiction of the company, the entity type of the company, and the operation and transaction type.
Please note: If the Registered Office is to be used as the service address for the appointee, there is no need to add a dedicated service address record to the Person profile of the individual. Providing the Registered Office address has already been added to the entity the appointee is being appointed to already, this will be suggested when the look up is selected below. A dedicated service address will only need to be added the Person record in GEMS when the individual is using a nominated service address other than the Registered Office or Home address.
Enter the date from which the service address is effective for the appointment. By default, the date of the appointment is used as the Effective From date of the Service Address. However, if this is not correct for a particular case, you can change the Effective From date if required, using the calendar icon.
View Service Address History
You can view the current service address as well as all of the service addresses that have been associated with an appointment record over the lifetime of that appointment.
To browse the appointment record and view service addresses, do the following:
1. Navigate to the Business Entity snapshot> Appointments
2. Edit the Appointment by clicking on the three dots next to the person you would like to add a Service Address to.
3. In the Service Address (People Only) section, click on the All Service Addresses link.
Open the appointments screen for a company or person and click a Director/Company Secretary/Member/Designated Member appointment to open the record in browse mode.
In the service addresses section on the appointment record, click the “All Service” Addresses link.
The list of service addresses that have been used for this appointment are displayed in a new search window.
You can view the properties of any of the historical service addresses on this screen but you cannot edit an address or add a new one.
The service address displayed on the appointments screen is always the current, confirmed service address as at the system date.
Please note: If there is no current, confirmed service address for an appointment, the service address section will be blank, even if there are historical service addresses associated with the appointment record.
Add a Service Address to an Existing Appointment
To add a service address for an existing appointment such as a UK Director, do the following:
1. Navigate to the Business Entity snapshot> Appointments
2. Edit the Appointment by clicking on the three dots next to the person you would like to add a Service Address to.
3. In the Service Address (People Only) section, click on the All Service Addresses link.
4. Click New Service Address.
5. Update the fields in the Service Address section and click Save.
Edit an Existing Service Address
1. Navigate to the Entity Snapshot> Appointments. Click on Appointment Type Director for the Director that needs the Service Address updating.
2. Click Edit.
3. Scroll down the page to the Service Address (People Only) section. Click All Service Addresses.
4. Either select a new address from the search results or add a new address by clicking on New Service Address.
5. If a new Service Address is selected. Update the fields in the Service Address section and click Save.
