Add Multiple Appointments to one company or multiple companies

Introduction

Using the Bulk Appointment Wizard, you can appoint multiple officers/entities to one company, one officer/entity to multiple companies, or multiple officers/entities to multiple companies.

When you complete the Bulk Appointment Wizard, you are taken from the wizard finish screen to the Batch Search where you can electronically file or print out the associated statutory forms.

Bulk Appointment Wizard

To make multiple appointments using the Bulk Appointments Wizard and then produce the statutory forms in GEMS (UK Companies House Filings), proceed as follows:

Click the Search button to display the search bar and then select ‘Wizard’ from the drop-down list.

Type bulk in the text box and then click Search.

On the results list that is displayed, click the Bulk Appointment Wizard link. The Bulk Appointment Wizard is then launched.

On the Bulk Appointment Wizard introductory screen, you have the options to:

Flag the wizard as a favorite and/or skip the Introduction screen the next time the Bulk Appointment Wizard is run.

NOTE: When a wizard is flagged as a favorite, the Wizard panel must be added to the Entities & People homepage in order to gain quick access to it. For more information, see the GEMS Wizards Tutorial.

On Step 2. Batch Details, select the ‘Appointment Type’ from the Favourites drop-down or lookup list. In this example the Appointment type is Director.

NOTE: Statutory forms are produced only if the appointment type selected is statutory. To see which appointment types are statutory, click on the search icon next to ‘Appointment Type’ to view the lookup list.

In the Appoint To field, click the Lookup icon and select the Company/Business Entities to which the appointments are being made.

NOTE: When selecting from the lookup list, select the entities and click Go before choosing from the next page of the list.

With the Companies/Business Entities selected, click the lookup icon for the ‘Appointee’ field and choose the people/entities from the lookup list.

Enter the dates for the ‘Date Appointed’ (mandatory), ‘Date Minuted’ and ‘Date Filed’ fields.

UK ONLY: If the company you select in ‘Appoint To’ is incorporated in the United Kingdom and if you select a single person entity in the ‘Appointee’, the Service Address (People Only) section is displayed.

Clicking on the search icon next to Address Type display a list of current, confirmed addresses for the appointee as of the appointment date. Only these addresses can be selected as the service address.

On Step 3. Add Details, the appointment records you selected are listed. You can review and edit any of the details using the Edit link for each appointment.

For example, if one of the appointees has a different date of appointment from the others, you can edit the date here. You can also click Remove to delete the record from the list.

Once any edits are completed click on Add Appointments

1.UK or Ireland: In the Output Created section, the ‘Statutory Forms’ are necessary filing forms, produced for each appointment. The Statutory Forms associated with appointments are as follows:

AP04 Appointment of a Corporate Secretary

2. UK or Ireland: In the Output Format section, choose ‘Manual’ or ‘Electronic’ from the drop-down list to specify whether you want to generate a merged PDF form or an electronic filing form. Click Next.

UK ONLY: If the company you selected in ‘Appoint To’ is incorporated in the United Kingdom and you selected multiple appointees in ‘Appointee’, you will need to edit all the records where the appointee is a person and add a service address for each.

When the appointment is added to the company, the Appointment Added column displays ‘Yes’ for that appointment. Where a statutory form is generated as a result of the appointment, this will be displayed in the Output Created column.

UK ONLY: On Step 4. Finish, you are presented with the information relating to the creation of forms in the Batch Search, which are also stored in the Document Manager.

Click Previous to return to any of the previous screens, otherwise click Finish to complete the wizard and launch the Batch Search.

Manual or Electronic Form Creation

For those jurisdictions where GEMS provides merging or electronic filing forms, the following steps apply:

The Batch Search screen is launched, which enables you to process the statutory forms electronically using the Filing Module or manually using the form PDFs.

If ‘Errors’ is displayed in the Status column, click the Errors link to view the details of the non-compliant field(s) to be updated in the appointment record.

Note that the Errors validate against the current Companies House data requirements for the associated filing form.

For manual submission, select the checkboxes for the forms you want to manually submit, and with ‘Batch Print’ displayed in the drop down field click the Go button.

The selected forms are launched in a single PDF file, containing the multiple merged forms for printing and manual submission.

For electronic submission, select the checkboxes for the forms, select ‘Launch Filing Module’ on the Batch Search and click Go. This launches the Filing Module where you can edit the details, validate them, and submit the forms for all or individual entities in the Filing Module.
