Introduction
The Bulk Resignation Wizard enables you to resign multiple appointments from one or more companies and then produce the associated statutory forms for the jurisdictional filing body (UK & Ireland).
Depending upon the options selected when you complete the wizard, you are taken from the Finish screen to the Batch Search screen to electronically file or print out the forms for United Kingdom Companies House filings and Ireland CRO filings.
Bulk Resignation Wizard
To make multiple resignations using the Bulk Resignations Wizard and then produce the statutory forms in GEMS, proceed as follows:
Click the Search button to display the search bar and then select ‘Wizard’ from the drop-down list.
Type bulk in the text box and then click Search.
On the results list that is displayed, click the Bulk Resignation Wizard link. The Bulk Resignation Wizard is launched.
On the Bulk Resignation Wizard introductory screen, you have the options to:
Flag the wizard as a favorite
Skip the Introduction screen the next time the Bulk Resignation Wizard is run
NOTE: When a wizard is flagged as a favorite, the Wizard panel must be added to the Entities & People homepage in order to gain quick access to it. For more information, see the GEMS Wizards Tutorial.
Click Next.
On Step 2. Batch Details, select the ‘Appointment Type’ from the drop-down list of favourites or the lookup list.
Click on the look up list icon to search all appointment types. Click the appointment type you would like to select.
In the ‘Resign From’ field, click the Lookup icon and select the Company/Business Entities to which the appointments were made.
NOTE: When selecting the Companies/Business Entities in the lookup list, select the entities and click Go before choosing from the next page of the list.
With the Companies/Business Entities selected, click the lookup icon for the ‘Resignee’ field and choose the people/entities from the resultant list.
Enter the dates for the ‘Date of Resignation’ (mandatory), ‘Date Minuted’ and ‘Date Filed’ fields.
UK or Ireland: In the Output Format section, choose ‘Manual’ or ‘Electronic’ from the drop-down list to specify whether you want to generate a merged PDF form or an electronic filing form. Click Next.
The Statutory Forms associated with resignations are as follows:

TM01 Termination of appointment of Director
TM02 Termination of appointment of Secretary
TM03 Termination of appointment of manager under Section 47 of the Companies (Audit, Investigations and Community Enterprise) Act 2004 or receiver and manager under Section 18 of the Charities Act 1993 or judicial factor (Scotland)
LLTM01 Termination of appointment of member of a Limited Liability Partnership (LLP)
Ireland
B10 Notice of Change in Directors or Secretaries or in their Particulars
UK and Ireland: In the Output Format section, choose Manual or Electronic from the drop-down list to specify whether you want to generate a merged PDF form or an electronic filing form.
Click Next.

On Step 3. Add Details, the appointment records to be resigned are listed. You can review and edit any of the details using the Edit link for each appointment, or Remove the record from the list.
Click the Add Resignations button to process the resignations.
The resignations are processed and the Date Resigned, Resignation Added and Output Format columns are updated.
For each resignation record, the Resignation Added column displays ‘Yes’. Where a statutory form is generated as a result of the resignation, this will be displayed in the Output Created column.
Click Next.
On Step 4. Finish, you are presented with the information relating to the creation of forms in the Batch Search, which are also stored in the Document Manager.
Click Previous to return to any of the previous screens, otherwise click Finish to complete the wizard and launch the Batch Search.
Form Creation
For those jurisdictions where GEMS provides merging or electronic filing forms, the following steps apply:
The Batch Search screen is launched, which enables you to process the statutory forms electronically using the Filing Module or manually using the form PDFs. Click on the title of the form to access it.
If ‘Errors’ is displayed in the Status column, click the Errors link to view the details of the non-compliant field(s) to be updated in the resignation record.
To electronically file each of the forms, select the checkboxes for the forms, select ‘Launch Filing Module’ on the Batch Search and click Go. This launches the Filing Module where you can edit the details, validate them, and submit the forms for all or individual entities in the Filing Module.
Alternatively to file the forms manually, select the checkboxes for the forms you want to manually submit, and with ‘Batch Print’ displayed in the drop down field click the Go button.
The selected forms are launched in a single PDF file, containing the multiple merged forms for printing and manual submission.
