Foreign Qualifications / Registrations
A Foreign Qualification / Registration is simply a record for the company that is doing business outside its state/jurisdiction of incorporation, and therefore must be registered to do business in those other jurisdictions.
The Foreign Qualifications / Registrations section enables you to set up details of offices for jurisdictions in which your organization conducts business. This enables the organization to then have their details registered in the foreign jurisdiction and submit the relevant filings.
The Foreign Qualifications / Registrations link opens the Foreign Registrations Search page. The Foreign Registrations are arranged in a Search Results list that is displayed in a table format: columns and rows.
Add a New Foreign Registrations Record
To create a new foreign registration record, proceed as follows:
Company Snapshot> VIEW MORE DETAILS> Registrations & Licences > Foreign Registrations.
In the Foreign Registrations Search panel, click the New Foreign Registration link to open the data entry screen.
In the Foreign Registration section,
Enter the name of the company in this jurisdiction if different from the main company name in the ‘Assumed Name’ field.
Enter the Registration Date for the company in this jurisdiction.
Select the jurisdiction the company is registering in from the drop-down list or click the search icon and select from the lookup list.
In the Pursuant to field, click the search icon and select a Law or Act from the lookup list if applicable.
Select the Principal Address in this Jurisdiction from the drop-down list of favorites or the lookup list.
Enter details of the remaining fields if applicable:
Registration # – enter the registration number of the company in the foreign jurisdiction.
Perpetual – select the Perpetual checkbox if the foreign registration is indefinite in that jurisdiction and will not expire.
Expiry Date – if there is a date of expiry of the registration in the foreign jurisdiction.
Tax # – the number that is provided by the tax authorities when you register the company in a foreign jurisdiction.
Cancellation Date – Enter the cancellation date if the company has withdrawn from the foreign jurisdiction.
General/Specific Purpose – select a General/Specific Purpose from the Purpose of Company lookup list.
Select the Filing Type from the drop-down list as either Manual or On-Line and then select the Confirmed box for the Foreign Registration.
Complete the details in the Agent section if the company has a Registered Agent for filings in this jurisdiction.
In the final section of the Foreign Registrations screen, click the Status Lookup icon and select from the lookup list: Pending, Pending - CT Online Filing, Qualified/Registered, Withdrawal.
Click Save to save the details of the Foreign Registration for the company.
Create Filings for Foreign Registration
The new Foreign Registration details may need to be filed with the relevant authority in the jurisdiction you have set it up for. You can create this filing record as follows:
Click Registrations & Licences > Foreign Registrations > Filings to display the Filing Search, and then click the New Filing link.
On the Foreign Registrations Filing screen viewed below, select the jurisdiction from the drop-down list or click the search icon and select from the lookup list.
Please note: Each jurisdiction that you have created a Foreign Registration record for will be displayed in the Jurisdiction drop-down list.
Select the Filing Type from the drop-down list, which has been refreshed concerning the jurisdiction you selected in the previous step.
Enter the Filing Fee and Currency if available. (Note that you can pre-populate these and other Filing details based on Jurisdiction and/or Entity Type. Contact CGS Support for more details about how this can be set up in advance)
If this filing is exempt from a filing fee, select the Exempt checkbox.
Select the Due Date and Extended Date Due using the Calendar icons.
Enter the Date Prepared if necessary and then the Date Filed using the Calendar icon or by clicking the ‘Today’ link.
Finally, click Save to create the Filing and launch the tasks reminder dialog. (See section ‘Associated Task Pop-up Window’, for an overview of Associated Task Properties)
