Every registered company contains certain criteria relating to its incorporation such as where the business is operating, the act of law it is operating under, and the office where it is registered. The Registrations & Licenses section of GEMS enables you to enter the statutory registration details for the jurisdiction of incorporation of a company. It also enables you to enter the registration details for each jurisdiction it does business, as well as details of trade names it is doing business as.

You can set up the filings associated with any incorporation or registration details and then submit the necessary information using associated actions and linked tasks.

Incorporation/Formation

The Incorporation/Formation screen in Registrations & Licenses displays linked incorporation information from the Company Snapshot> Basics section as well as additional incorporation information. However, if the incorporation details were not entered when the company was initially set up in GEMS, you can add or update the incorporation record as follows:

Create or Update an Incorporation/Formation Record

The Incorporation/Formation details of a Company are typically set up when the company details are entered into GEMS for the first time. However, if the details were not entered during initial entity creation, you can create or update an Incorporation record as follows:

Please note: Incorporation/ Formation/ Registration are the terms used in different jurisdictions. The screenshots in this document use the United Kingdom jurisdiction.

From the Company Snapshot> VIEW MORE DETAILS> Registrations & Licenses > Incorporation.

Any existing information from Company Basics is displayed, in this example, the Company Number and Jurisdiction.

Click Edit to begin entering or updating the Incorporation details. In the Jurisdiction field, select the Jurisdiction of the company’s headquarters/jurisdiction of formation from the drop-down list or the Jurisdiction lookup list.

In the Registration/Formation Date field, select the date from the calendar or click the Today link.

In the Company Number field, enter or change the company number.

Complete the remainder of the Incorporation/Formation section where applicable, which contains the following fields.

Field

Description

Company Name Choice 2/3

Any alternative company names, such as shortened versions or acronyms.

Company Number

In this example, the Company Number has been automatically entered from the Basics screen.

Pursuant To

This relates to any Act of Law that may be in effect, which the company must adhere to. Click the lookup list to see the Act of Law records associated with the jurisdiction.

Register in which Company is entered

This refers to the register in which the company’s registration is recorded, for example, Companies House.

VAT #

VAT number.

Registered City

Select from the drop-down list of favorites or the lookup list.

Country of Stewardship

This is completed automatically when the jurisdiction is selected and is based upon the jurisdictions’ underlying ISO Code (e.g.: an entity formed in Delaware will populate with Country of Stewardship = US)

General Purpose/Specific Purpose

Select a General/Specific Purpose from the Purpose of Company lookup list.

Please note: The underlying ISO Code of the entity’s Jurisdiction of Formation will determine what additional fields appear on this screen: e.g. CCID for Canadian Entities, Registered City for German entities, etc.)

If there is a Registered Agent set up to file on behalf of the company, enter the details in the Agent section by choosing from the lookup list.

In the final section of the Incorporation screen, click the Status Lookup icon and select from the lookup list: Incorporated, Incorporation - Pending, etc. By default, this is ‘Incorporated’.

Click Save. The Incorporation details are now displayed whenever you go to Company Snapshot>VIEW MORE DETAILS> Registrations & Licences > Incorporation/Formation for this company.
