Introduction
GEMS Edit Users can create new Business Entities/Companies and Non-Affiliates by cloning an existing Business Entity/Company. When cloning an existing entity, users can select which Screens and records are duplicated for the new entity, and they can also add new records during the cloning process.
Please note: Person entities cannot be cloned or created through cloning.
How to Clone a Non-Person Entity
To clone a Non-Person entity, click Quick Add.
Click Non-Person Entity under the Clone section.
Select the existing entity that will be cloned in the "Entity" field under the Select a Non-Person Entity to clone section.
Please note: After selecting an existing entity, that entity's Entity Type (i.e., Business Entity or Non-Affiliate), Jurisdiction, Entity Type (e.g., Corporation, Limited Liability Company), Category, and Red Flag Issue properties will be applied to the new entity. Users wishing to use different values for these fields for the new entity will have to change the values only after the cloning process is complete.
Enter the appropriate information for the new entity in the "Legal Name," "Effective From Date," and any other desired fields under the New Entity section, then click Next.
On the Select (Business Entity/Non-Affiliate) Sections page, use the Select All, Deselect All, and various checkboxes to select only those Screens from the original entity that will be cloned for the new entity, then click Next.
Please note: Each selected Screen can be further refined in future steps of the cloning process, e.g., selecting "Officers" here does not commit the user to copying over every single Officer from the original entity, nor does it prevent users from adding additional Officers.
On the Basics Screen, modify, delete, or add information to any desired fields, then click Next.
Please note: As noted earlier, the Red Flag Issue, Jurisdiction, Entity Type (e.g., Corporation, Limited Liability Company), and Category properties, although visible on the Basics Screen, cannot be modified until the cloning process is complete.
On subsequent Screens, adjust the information as needed by using the New, Edit, and Delete buttons next to individual records, then click Next to proceed to further Screens.
Once the final Screen is complete, click Go to Snapshot to view the Snapshot of the cloned entity. The new entity can now be freely modified as needed.
